These Terms and Conditions ("Terms") govern the use of the PartFinder platform ("Website"), operated by Beyond Office, and located at https://partfinder.ng. By accessing, registering, or using our services, you agree to be bound by these Terms. Please read them carefully before proceeding.

2. Definitions

• "PartFinder": Refers to the online marketplace operated by Beyond Office, where vendors list and sell auto parts to buyers.
• "Vendor": An individual or business entity registered on PartFinder to sell products.
• "Buyer": An individual or entity purchasing products from vendors on PartFinder.
• "User": Any individual or entity accessing or using PartFinder, including vendors and buyers.
• "Account": The user profile created by a vendor or buyer to access the services offered by PartFinder.
• "Content": Any material, including text, images, videos, and product listings, uploaded by users on PartFinder.

3. Acceptance of Terms

• By using PartFinder, you confirm that you are at least 18 years old or have reached the age of majority in your jurisdiction.
• If you do not agree to these Terms, you must not access or use PartFinder.

4. Registration and Account Management

• Registration Process: Vendors and buyers must complete the registration process by providing accurate and up-to-date information. PartFinder reserves the right to verify the information provided.
• Account Security: Users are responsible for maintaining the confidentiality of their account credentials. You agree to notify PartFinder immediately of any unauthorized use of your account.
• Account Suspension/Termination: PartFinder reserves the right to suspend or terminate accounts without notice for violations of these Terms, fraudulent activities, or any actions that harm the integrity of the platform.

5. Vendor Responsibilities

• Product Listings: Vendors must ensure that all products listed are accurate, comply with Nigerian laws, and do not infringe on any third-party rights.
• Compliance with Laws: Vendors must comply with all applicable laws, including consumer protection, product safety, and intellectual property laws.
• Order Fulfillment: Vendors are obligated to fulfill orders in a timely manner, ensuring that products are delivered as described and in good condition.

6. Buyer Responsibilities

• Purchase Obligations: Buyers must provide accurate information when placing orders and ensure timely payment for purchases.
• Prohibited Actions: Buyers must not engage in fraudulent activities, including false claims, chargebacks without cause, or manipulation of product reviews.

7. Payments and Fees

• Vendor Fees: PartFinder charges a commission on each sale, which will be deducted from the vendor’s payout. The current commission rate is specified on the platform and may be updated periodically.
• Payment Processing: Payments to vendors are processed within 7 business days following successful delivery and confirmation by the buyer.
• Refunds and Chargebacks: Refunds are processed in accordance with our Return Policy. Unauthorized chargebacks may result in account suspension.

8. Prohibited Activities

• Illegal Products: The sale of counterfeit, stolen, or illegal products is strictly prohibited.
• Content Restrictions: Users must not upload content that is defamatory, offensive, obscene, or violates any applicable laws.
• System Abuse: Users are prohibited from attempting to manipulate the platform’s algorithms, engage in hacking, or use automated systems to access PartFinder.

9. Intellectual Property Rights

• Vendor Content: Vendors retain ownership of their content but grant PartFinder a non-exclusive, royalty-free license to use, display, and promote the content on the platform.
• PartFinder Trademarks: Users may not use PartFinder’s trademarks, logos, or other proprietary information without prior written consent.

10. Warranties and Disclaimers

• Vendor Warranties: Vendors warrant that their products comply with all applicable laws, are of merchantable quality, and match the description provided.
• Platform Availability: PartFinder does not guarantee that the platform will be available at all times or that it will be free from errors or interruptions.
• Disclaimer of Warranties: To the fullest extent permitted by law, PartFinder disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

• Indirect Damages: PartFinder shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the use of the platform.
• Maximum Liability: PartFinder’s maximum liability to any user, for any reason, shall not exceed the total amount of fees paid by that user to PartFinder during the six months preceding the claim.

12. Indemnification

Users agree to indemnify and hold PartFinder, Beyond Office, and its affiliates, officers, agents, and employees harmless from any claims, damages, losses, or expenses arising out of or in connection with their use of the platform, violation of these Terms, or infringement of any third-party rights.

13. Privacy and Data Protection

• Compliance with NDPR: PartFinder is committed to protecting your privacy and complies with the Nigeria Data Protection Regulation (NDPR). Please review our Privacy Policy for details on how we collect, use, and protect your personal data.

14. Governing Law and Jurisdiction

These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. The courts of Ondo State, Nigeria, shall have exclusive jurisdiction over any legal proceedings related to these Terms.

15. Dispute Resolution

• Informal Resolution: Parties agree to attempt to resolve any disputes informally before proceeding to arbitration or court.
• Arbitration: Any disputes that cannot be resolved informally shall be submitted to binding arbitration in Ondo State, Nigeria, in accordance with the rules of the Nigerian Arbitration and Conciliation Act.

16. Changes to the Terms

PartFinder reserves the right to amend these Terms at any time. Any changes will be posted on the website, and your continued use of the platform after such changes constitutes acceptance of the revised Terms.
